Terms
These terms apply to your use of arcanexus.in and worldofarcane.com, and to design, prototyping and fabrication services provided by Arcanexus (OPC) Private Limited ("Arcanexus", "we", "us"). A signed quotation, statement of work or contract for a specific project takes priority over these terms where they differ.
1. Using our websites
You may browse our websites and contact us for legitimate enquiries. Don't misuse them: no attempts to break security, send spam, or copy our content, logo or designs for commercial use without permission. Content on the websites is general information, not a binding offer.
2. Quotations and scope
- Every project starts with a written quotation that sets out the scope, deliverables, price, milestones and expected timeline.
- Quotations are valid for 30 days unless they say otherwise.
- Work outside the agreed scope, or design changes after a milestone has been approved, is quoted separately.
- Timelines are good-faith estimates and depend on you supplying information, files and approvals on time.
3. Payment
- Unless the quotation says otherwise, projects are billed in milestones: 30% to start, 40% at an agreed midpoint and 30% on delivery.
- Prices are in Indian rupees and exclude GST, which is added where applicable.
- Invoices are due within 15 days. We may pause work on overdue accounts.
4. Intellectual property
- Your deliverables: once you have paid in full, you own the project-specific deliverables we make for you, such as CAD files, drawings, design assets and physical prototypes.
- Our background know-how: Arcanexus keeps ownership of its pre-existing tools, software, libraries, templates, methods and general know-how, including improvements to them that aren't specific to your project. Where these are built into your deliverables, you get a permanent, non-exclusive licence to use them as part of those deliverables.
- Your materials: you keep ownership of the files, ideas and information you give us. You confirm you have the right to share them and that our use of them for your project won't infringe anyone else's rights.
- We won't show your project publicly (for example as a case study) without your written permission.
5. Confidentiality
We keep your project information confidential and use it only to deliver your project. We're happy to sign a mutual non-disclosure agreement before you share sensitive details.
6. Prototypes are not production parts
Prototypes, 3D-printed parts and test pieces are made to evaluate form, fit and function. Unless we agree otherwise in writing, they are not certified, tested or suitable for safety-critical, medical, structural, load-bearing or production use. You are responsible for testing and certifying any product before using or selling it.
7. Delivery, inspection and remakes
Please inspect deliveries within 7 days and tell us about any defect against the agreed specification. If a part we made doesn't meet the agreed specification, we'll remake or repair it, or refund that part of the price. Shipping risk passes to you once parts are handed to the courier.
8. Liability
To the extent the law allows, our total liability for any project is limited to the fees you paid for that project, and we're not liable for indirect losses such as lost profits or lost data. Nothing in these terms limits liability that can't be limited by law.
9. Cancellation
Either side may end a project with written notice. You'll pay for work done and materials bought up to that point, and we'll hand over the deliverables completed and paid for.
10. Governing law
These terms are governed by the laws of India. Disputes will first be discussed in good faith, and otherwise fall under the jurisdiction of the courts at Howrah, West Bengal.
